## Key facts

- Bridge commitment: Atlas reported a $424 million committed senior secured bridge facility.
- Lenders: The lender group named by Atlas comprises Goldman Sachs and Barclays.
- Drawn at closing: The loan had $171 million drawn at closing, according to the release.
- Equipment scope: Equipment purchases cover power generation and balance-of-plant packages for two data-centre projects.
- First power target: Atlas expects first power from both projects in late 2027; this is a company forecast.

Atlas Energy Solutions announced on 22 October that it had closed a US$424 million committed, senior secured bridge facility from Goldman Sachs and Barclays. The financing supports power-generation and balance-of-plant equipment for two data-centre projects. First power is targeted for late 2027; this remains a company forecast.

## Bridge financing and delivery conditions

The delayed-draw loan had US$171 million drawn at closing. Further withdrawals are intended to follow equipment-payment requirements. Its initial maturity is 180 days, with a possible 184-day extension dependent on energy-supply agreements, lender consent and other conditions. Pricing is adjusted SOFR plus 2.50%, with a further 0.50 percentage points after six months. Atlas may request up to US$286 million of additional commitments, subject to conditions.

The company expects long-term financing supported by contracted project cash flows to follow final customer agreements and the start of construction. The bridge commitment is consequently a financing amount rather than the announced total cost of the two developments. It secures equipment purchasing ahead of the intended commissioning date while leaving later commercial and funding milestones to be completed.

## The equipment programme behind the loan

The underlying purchasing arrangements were announced on 25 September. Two indirect subsidiaries entered separate cost-reimbursement agreements with an unnamed frontier AI laboratory. The first covers supporting equipment for existing Caterpillar generator orders: emissions-control systems, electrical distribution equipment, battery storage and other balance-of-plant infrastructure. These systems form part of the power installation alongside the generating equipment.

The second September agreement supports an additional 283 MW of Caterpillar generation purchases for the initial ramp of a separate data-centre project. Atlas described that capacity as additional to its existing Global Framework Agreement with Caterpillar. It also announced a 328 MW generation-equipment purchase consistent with its framework obligations for 2027 deliveries. Those September quantities describe equipment commitments; they do not measure operating capacity on 22 October.

Taken together, the two announcements connect the customer’s reimbursement arrangements, equipment allocation and near-term borrowing. They show which stage has advanced: financing of procurement. Actual delivery, installation and the forecast first-power milestone remain subsequent steps. The public announcements leave the customer identity and project locations undisclosed.
