## Key facts

- Second-tranche gross proceeds: C$2,413,443.90
- Total non-brokered offering: C$14,921,111.80
- Combined offerings gross proceeds: C$23,795,909.30

Scottie Resources reported closing the second and final tranche of its non-brokered private placement on October 22, raising C$2.41 million in gross proceeds from 823,369 offered shares. The tranche included 128,369 flow-through shares. Scottie priced common shares at C$2.90 and flow-through shares at C$3.10. The company also paid C$103,530 in cash finder’s fees and issued 35,700 finder’s warrants, each exercisable for one common share at C$2.90 for 24 months.

The release says the net proceeds from the non-flow-through shares will go to working capital and general corporate purposes, including technical studies and permitting at the Scottie Gold Mine Project in British Columbia. Gross proceeds from the flow-through shares are to fund qualifying Canadian exploration expenditures associated with that project. Scottie said the qualifying expenditure amounts will be renounced in favour of subscribers by December 31, 2026. The offering remained subject to final acceptance from the TSX Venture Exchange, so completion of the share issuance did not remove that final exchange condition.

Across the full non-brokered offering, Scottie said it raised C$14.92 million through 4,800,383 non-brokered shares and 322,581 flow-through shares. Together with a separate brokered offering that closed October 9, the two offerings generated C$23.80 million in gross proceeds and involved 8,183,239 shares, including 322,581 flow-through shares. The October 22 event is therefore the closing of the last tranche of the non-brokered financing, rather than a newly launched financing or a single C$23.8 million transaction on that date.

Scottie’s project page describes the Scottie Gold Mine as a past-producing property in British Columbia’s Golden Triangle. It identifies the existing permit and gives an overview of the company’s current work program, including feasibility-level mine design engineering, a phase-three ore-sorting study and environmental baseline work. The financing release connects the new funds to technical studies, permitting and exploration expenses at that project. It does not announce a construction decision, a mine development contract or a completed feasibility result.

The release also refers to the company’s preliminary economic assessment (PEA) and describes the offering proceeds separately from the study’s potential operating case. PEA assumptions are not equivalent to approved project plans or committed capital. The release says no toll-milling agreement was in place. This draft treats the October transaction as financing for technical and exploration work, and does not present the PEA economics as a forecast of realized production or as part of the financing amount.

The release distinguishes the proceeds by share type: net proceeds from non-flow-through shares are designated for working capital and general corporate purposes, including technical studies and permitting, while gross flow-through proceeds are designated for qualifying Canadian exploration expenditures at the project. Scottie said those expenditures would be renounced in favour of subscribers by December 31, 2026. The release does not break down how much will go to each activity or give a precise schedule for studies or permit submissions.

Closing this tranche adds capital for work at a project still in feasibility and permitting. The transaction has a stated gross cash amount, share count and proceeds plan; final exchange acceptance and subsequent project decisions remain outstanding. The company’s project page gives separate context on its ongoing technical work, but the financing itself is not evidence that a mine construction decision has been made.
