Saipem entered into a €1 billion revolving credit facility with a group of thirteen financial institutions, the company announced on 29 July 2026. The arrangement has an initial five-year term. Lenders can choose to extend it for a further one or two years under the conditions described in the announcement. The release therefore identifies both a committed contractual structure and the fact that any extension is a lender option, rather than an automatic part of the initial term.
The effectiveness of the new facility is subject to conditions precedent. Those conditions include completion of the proposed merger between Saipem and Subsea7. This qualification is central to the announcement: signing the facility does not establish that the merger had closed or that the new financing was already effective on 29 July. The financing arrangement and the corporate transaction are linked, but they remain different events with their own conditions and completion requirements.
Once effective, the new arrangement is intended to replace the €600 million revolving facility entered into on 10 February 2025. The two headline amounts describe successive facilities, not two amounts that the announcement says should be added together. Equally, the €1 billion figure is the size of the announced credit facility. The release does not present it as revenue, a new customer order, or an amount of project expenditure already incurred by Saipem.
For an engineering and construction contractor, the distinction between access to financing and the value of work awarded is important. A credit arrangement sits on the funding side of the business, while offshore, onshore and infrastructure contracts determine the scope of work delivered for customers. This announcement concerns the former. Its disclosed details are the facility size, the banking group, the initial tenor, the extension options and the conditions that determine when the replacement arrangement becomes effective.
Saipem described the agreement as evidence of its continuing relationships with Italian and international financial institutions. The announcement records a financing milestone in the context of a proposed business combination, rather than a forecast of how much of the facility would be drawn or which specific construction packages would use it. Tracking the replacement requires preserving that conditional status and the distinction between the July signing date and any subsequent date when the requirements for effectiveness are satisfied.
